Vection Signs Agreement to Acquire DXLabs to Strengthen APAC Growth
Vection Technologies Ltd (ASX: VR1) has signed a share sale agreement to purchase the entire interest in Digital Experience Labs (DXLabs), an Australian company focused on digital transformation solutions. The acquisition is expected to deliver immediate financial benefits, including approximately AU$3.5 million in revenue and AU$0.8 million in EBIT, while remaining debt-free.
The deal is structured as an all-scrip transaction, with an upfront consideration of AU$2.1 million and a performance-based earn-out linked to FY26 EBITDA. The integration is expected to be completed within one month following completion, targeted for 9 April 2026, subject to conditions.
Strategically, the acquisition enhances Vection’s presence in Australia and Asia, expands its enterprise customer base, and creates cross-selling opportunities by combining its AI and spatial computing solutions with DXLabs’ automation and integration capabilities.
