CZR Resources to Acquire Zuleika Gold in AU$44.8 million Takeover Deal
CZR Resources Limited (ASX: CZR) has agreed to acquire Zuleika Gold Limited through a unanimously recommended all-scrip, off-market takeover, offering 0.1742 CZR shares for each Zuleika share. The transaction values Zuleika at approximately AU$44.8 million, with an implied offer price of AU$0.0427 per share, representing attractive premiums over Zuleika's recent trading levels. The combined entity aims to strengthen its exploration, development, and mining capabilities by integrating complementary assets and creating a more diversified portfolio across Western Australia.
The proposed merger is expected to enhance financial flexibility through stronger combined cash reserves and a debt-free balance sheet, enabling funding for existing projects while supporting future investment and acquisition opportunities. Management also expects lower corporate overheads, greater operational efficiencies, and broader commodity and geographic diversification. The transaction remains subject to several conditions, including shareholder approvals, minimum acceptance thresholds, regulatory requirements, and customary closing conditions before completion.
