Atlas Arteria Lodges Third Supplementary Target’s Statement, Reiterates Rejection of IFM Offer
Atlas Arteria (ASX: ALX) has lodged its Third Supplementary Target’s Statement with the Australian Securities and Investments Commission (ASIC) and the ASX in response to IFM Global Infrastructure Fund’s off-market takeover offer through Diamond Infraco 1 Pty Ltd. The document supplements the company’s original Target’s Statement and subsequent updates issued in early June 2026. Atlas Arteria’s Independent Directors have again unanimously recommended that securityholders reject the offer, arguing that it does not adequately reflect the intrinsic value of the company or provide an appropriate control premium.
The company stated that the revised offer price of AU$5.10 per security remains below the midpoint of the independent expert’s valuation range and undervalues several of its infrastructure assets. Atlas Arteria also reaffirmed its 2026 ordinary distribution guidance of 40.0 cents per security and highlighted that proceeds from potential asset sales, including its Chicago Skyway stake, could provide additional returns to investors. Management further noted that IFM has historically increased takeover offers in similar transactions and maintained that securityholders have no immediate reason to accept the current proposal.
