Kincora Copper Secures US$1.5 Million Option Payment for Mongolian Asset Divestment
Kincora Copper Limited (ASX: KCC) has received a non-refundable US$1.5 million option payment following execution of a term sheet with Tumen Ail Coal LLC (TAC) for the proposed divestment of its Mongolian subsidiaries. The transaction grants TAC exclusivity to acquire 100% of Kincora’s Mongolian assets under a staged consideration structure valued at US$10 million.
Under the agreement, a further US$3.5 million payment is due upon execution of definitive transaction documents, targeted before 1 July 2026. TAC will subsequently place the final US$5.0 million into escrow pending completion of shareholder registration changes for the Mongolian subsidiaries, which are anticipated before year-end.
The proposed divestment aligns with Kincora’s strategy of sharpening its focus on Australian gold-copper exploration opportunities, particularly within the Lachlan Fold Belt and Condobolin regions. Management highlighted that the transaction strengthens the Company’s balance sheet while supporting its capital-efficient hybrid project generator model.
