Humm Group Faces High Court Proceedings Over Voting Restrictions
Humm Group Limited (ASX: HUM) disclosed that it has been included as the Third Defendant in proceedings lodged in the High Court of Australia on 6 May 2026. The legal action was initiated by Andrew James Abercrombie and The Abercrombie Group Pty Ltd, who are challenging decisions made by the Takeovers Panel concerning voting restrictions and declarations of unacceptable circumstances. The applicants argue that the Panel acted beyond its legal authority and that the imposed voting restrictions may breach constitutional protections related to property rights. They have also requested that Humm’s Extraordinary General Meeting, planned for 13 May 2026, be postponed until the court matter is resolved. The case further seeks to overturn the Panel’s earlier orders and obtain written reasons behind those decisions. Humm Group stated that it is currently assessing the proceedings and has not yet taken a position on the matter. The company also confirmed that the EGM will continue as scheduled unless the Court orders otherwise.
