Atlas Arteria Reaffirms Rejection of IFM Takeover Proposal
Atlas Arteria Limited (ASX: ALX) has lodged its Seventh Supplementary Target’s Statement, reaffirming the Independent Directors’ unanimous recommendation that securityholders reject IFM’s off-market takeover offer. The supplementary statement provides additional information supporting the board’s position and follows a series of earlier updates issued since the original Target’s Statement in May 2026. The company has advised investors to disregard documents received from the bidder and carefully review all target statements before making any decision.
Atlas Arteria also responded to the bidder's recent comments concerning the Ontario Teachers' Pension Plan (OTPP) Put Option, explaining the board's assessment and decision-making process. Atlas Arteria stated that it had evaluated multiple funding alternatives before deciding to extinguish the put option through a US$100 million settlement, concluding that this approach minimised costs, avoided potential shareholder dilution and strengthened future collaboration opportunities relating to the Chicago Skyway asset. The company further rejected IFM’s proposal involving a discounted equity raising and call option over OTPP’s stake, stating that it was not in the best interests of securityholders.
