Webjet Receives Revised Non-Binding Indicative Offer from BGH Capital.
Webjet Group Limited (ASX: WJL) has received a revised non-binding and indicative offer from BGH Capital to acquire all shares not already held by BGH and its associates for an all-cash price of AU$0.91 per share. The offer will not be adjusted for the AU$0.02 dividend announced with Webjet’s 1H26 results. BGH, which currently holds an 18.3% relevant interest through a cooperation agreement with Portfolio Services Pty Ltd, has requested due diligence access, subject to a mutually acceptable non-disclosure agreement.
The revised proposal follows BGH’s earlier AU$0.80 per share indication in May 2025, which the Webjet Board rejected. The updated offer remains subject to several conditions, including a 75% minimum acceptance threshold, regulatory approvals, no prescribed occurrences, and a unanimous board recommendation. Webjet has emphasised that the proposal is non-binding and may not progress, and shareholders are not required to take any action at this stage.
