Perseus Tables Superior Bid to Acquire Predictive Discovery
Perseus Mining Limited (ASX: PRU) has lodged a binding proposal to acquire all remaining Predictive Discovery Limited (ASX: PDI) shares it does not already own. The offer proposes 0.136 Perseus shares for each PDI share, valuing Predictive at AU$0.778 per share and implying a 24.5% premium to the last close and a 34.8% premium to the 10-day VWAP. Predictive’s Board has determined the proposal to be a Superior Proposal under its agreement with Robex Resources.
The offer is not subject to due diligence or financing and includes an AU$37 million loan facility to support any Robex termination fee and fund working capital. If implemented, Predictive shareholders would own 18.4% of Perseus. A five-day matching period has begun, during which Robex may submit a competing offer. Perseus and Predictive will proceed to finalise a scheme once contractual conditions are satisfied.
