Court dismisses proposed acquisition of Link by Dye & Durham

Link Administration Holdings Limited (ASX: LNK) announced the dismissal of Scheme proceedings by the Court on 23 September 2022. The Company refers to the planned acquisition of Link Group by Dye & Durham Corporation via scheme of arrangement.

The Company confirmed that there were three conditions required to implement the Scheme that were not satisfied. These include:

  1. The Woodford Matters condition;
  2. The UK Financial Conduct Authority condition; and
  3. The Luxembourg Commission de Surveillance du Secteur Financier condition.

Also, the period for the fulfilment of the Outstanding Conditions Precedent got expired. Hence, there is no expectation that the outstanding share will be satisfied. At the same time, the Court declined to make orders in favour of the Scheme and dismissed the proceedings.
