Keypath Shares Acquired by Sterling Partners

Keypath Education (ASX: KED) has entered a merger agreement with Sterling Partners, who will acquire all Keypath shares at AU$0.87 per share, valuing Keypath at AU$186.8 million. This price represents an 88.3% premium over the six-month average share price. Some Keypath management will exchange shares for equity in a Sterling-affiliated entity.

Post-transaction, Keypath will delist from the ASX and deregister from the SEC. The deal requires approval from Keypath’s unaffiliated stockholders and other standard conditions. Keypath's Special Committee, after a thorough review, recommends stockholders approve the merger for liquidity, a significant premium, and certainty of value. Sterling Partners, already controlling 66.22% of Keypath, emphasizes this as the only acceptable transaction.
