Imagion Biosystems Limited (ASX: IBX) informs that it has recently entered a deed of variation with Mercer Street Global Opportunity Fund, LLC, regarding the convertible securities agreement signed on 7th March 2023. Its securities were suspended from quotation from 2nd April 2024 to 14th June 2024, which led to an event of default under the Convertible Securities Agreement. However, Mercer has agreed to waive all redemption rights of the Convertible Notes issued under the Convertible Securities Agreement triggered by the Suspension.
It also plans to issue a cleansing prospectus soon. This Prospectus will offer up to 1,000 shares at an issue price of AU$0.07 per share to raise it to AU$70 (before expenses). The primary purpose of the cleansing prospectus is to comply with section 708A (11) of the Corporations Act. It will remove any trading restrictions on the sale of Shares issued by the Company before the closing date of the Prospectus, including the Mercer Shares.
