Genesis Minerals Limited (ASX: GMD) has lodged a compulsory acquisition notice with ASIC to proceed with the post-bid compulsory acquisition of any remaining Dacian shares not accepted into their takeover offer. These shares will be acquired at a rate of 0.1935 Genesis Shares for each Dacian Share, following the same terms as the offer. The Offer is set to close at 4.00pm (WST) on Friday, November 17, 2023.
Dacian shareholders who accept the Offer before the closing date will receive their Genesis share consideration within seven business days. Genesis will compulsorily acquire the shares of non-accepting shareholders. However, this process, according to the Corporations Act, entails a delay of about six weeks from the commencement of compulsory acquisition for receipt of consideration. Dacian encourages all remaining shareholders who haven't yet done so to accept the offer promptly to avoid compulsory acquisition and the delayed receipt of consideration.
