Count Limited: Acquisition of Diverger Limited

Count Limited (ASX: CUP) has officially entered into a binding Scheme Implementation Deed with Diverger Limited (ASX: DVR) to acquire 100% of Diverger's issued shares through a board-recommended scheme of arrangement. Upon completion, Count will become a leading diversified financial services provider with AU$132 million in total revenues, AU$29 billion in Funds Under Management and Advice (FUMA), 550 advisers, 563 accountants, and an expanded Services segment.

This strategic acquisition is anticipated to significantly enhance Count's scale and diversification, unlocking growth opportunities and delivering compelling shareholder value. Diverger's Board and major shareholder, HUB24, have endorsed the transaction, offering Diverger shareholders 1.38 Count ordinary shares plus AU$0.367 in cash per Diverger ordinary share, amounting to AU$1.14 per share, a 31.0% premium to Diverger's 3-month VWAP. The deal is set to close in 1H CY24.
