APA Group (ASX: APA) has initiated a Share Sale Agreement with Alinta Power Cat Pty Ltd and Alinta Energy Development Pty Ltd, aiming to acquire 100% ownership of Alinta Energy Pilbara Holdings Pty Ltd and Alinta Energy (Newman Storage) Pty Ltd, referred to as Alinta Energy Pilbara. This acquisition is valued at an Enterprise Value of AU$1,722 million. It also boasts a substantial project development portfolio, including wind, solar, gas reciprocating engines, BESS, and associated electricity transmission in Western Australia's Pilbara region.
To finance this acquisition, APA intends to generate AU$675 million through a fully underwritten 'pro-rata' institutional placement (Placement) and will also conduct a non-underwritten Security Purchase Plan (SPP) to raise AU$75 million for eligible security holders. These funds will contribute to the purchase price, while the remaining AU$993 million will be financed through new debt facilities established in conjunction with the acquisition.
