United Malt Group Limited (ASX: UMG) has announced its agreement with Malteries Soufflet SAS through a scheme implementation deed (SID) for the acquisition of all shares in United Malt. The acquisition will be implemented through a recognized and formal procedure commonly known as a scheme. As part of the scheme, United Malt shareholders will receive AU$5.00 in cash per share, representing a significant 45.3% premium over the closing share price on March 24, 2023.
The directors of United Malt wholeheartedly endorse the scheme and encourage shareholders to vote in favour of it at the Scheme Meeting, with the condition that there are no superior proposals and based on the Independent Expert's determination that the scheme serves the shareholders' best interests. The successful implementation of the scheme is contingent upon various conditions, including approval by United Malt shareholders at the Scheme Meeting, along with the provision of a Scheme Booklet and an Independent Expert's Report to United Malt shareholders.
