Thrive Tribe Technologies Limited (ASX: 1TT) has announced a non-renounceable pro-rata entitlement offer, allowing eligible shareholders to acquire one new fully paid ordinary share for every existing share held as of 7:00 pm (Sydney time) on December 4, 2024. The offer price is 0.1 cents per share. This offer will be conducted without disclosure under Part 6D.2 of the Corporations Act 2001 and complies with relevant provisions of the Act, including continuous disclosure obligations.
The offer ensures no change in control if all shareholders participate fully. However, shareholders who do not fully subscribe may experience dilution, particularly if others apply for additional shares or if the shortfall is allocated to new investors. Directors will ensure that no individual exceeds 19.9% voting power through the shortfall offer. The proposal aligns with regulatory requirements, maintaining transparency and protecting shareholder interests while offering opportunities for equity participation.
