MKG: Directors Recommend AUEs Best and Final Offer

Mako Gold Limited (ASX: MKG) refers to Aurum Resources Limited's off-market takeover offer, announced on 11 October 2024. The Bid Implementation Agreement followed on 16 October 2024. Aurum has declared the Offer Consideration as BEST and FINAL, with no intention of increasing it. Aurum holds 86.83% of Mako shares, effectively taking control of the company and appointing a majority of its board. Given Aurum's significant shareholding, the likelihood of a superior proposal for Mako is minimal.

Mako shareholders who do not accept the offer before 7:00 PM on 31 January 2025 risk becoming minority shareholders with limited liquidity and reduced influence over the company's operations. Independent Directors Peter Ledwidge and Michele Muscillo strongly recommend that shareholders accept the offer without delay. They highlight the benefits of avoiding minority shareholder risks and ensuring their best interests are protected.
