Maas Group Holdings Limited (ASX: MGH) has announced three strategic acquisitions for AU$252 million, enhancing its position in construction materials and related sectors. These include acquiring Cleary Bros, a leading integrated construction materials and plant hire business in regional NSW for AU$172 million, a 75% stake in Capital Asphalt, an asphalt supplier in southern NSW and ACT, and a hard-rock quarry in western Melbourne. The acquisitions will be funded through a AU$100 million Institutional Placement, AU$28 million Conditional Placement, and existing cash and debt facilities, with an additional AU$10 million raised via a Share Purchase Plan.
MGH expects these acquisitions to boost EPS on a pro forma FY25 basis and maintains a pro forma leverage ratio of 2.6x, targeting 2.0–3.0x by June 2025. FY25 guidance remains at AU$215–AU$245 million Underlying EBITDA, excluding acquisition contributions. These moves align with MGH's focus on capital efficiency and growth in infrastructure investments.
