Javelin Minerals Limited (ASX: JAV) has entered into a Takeover Bid Implementation Agreement (Implementation Agreement) with Gecko Minerals Limited (Gecko), an unlisted Australian public company. Gecko holds a 60% interest in Gecko Minerals Uganda Limited (Gecko Uganda), which possesses an Exploration Licence and three Exploration Licence Applications in Uganda and is known to have lithium prospects. Gecko currently has 94 shareholders.
Under the terms of the Implementation Agreement, Javelin intends to conduct an off-market takeover bid in accordance with the Corporations Act, encompassing all shares of Gecko, contingent upon satisfactory due diligence. Javelin's proposed Takeover Offer comprises an exchange of 185 Javelin shares for each Gecko share held by shareholders. If all Gecko shareholders accept the offer (or Javelin attains the 90% compulsory acquisition threshold), approximately 5,000,000,000 shares will be issued by Javelin as part of the Takeover Offer.
